Terms of Service

These Terms of Service (“Terms”) govern your use of the website operated by Ratiom (“Ratiom,” “we,” “us,” or “our”) and any services provided by us.

By using this website, submitting an inquiry, booking a call, or purchasing services from Ratiom, you agree to these Terms.

If you do not agree to these Terms, do not use this website or purchase our services.

1. Who We Are

Ratiom is a founder-led marketing services practice owned and operated by Gary O’Toole, Founder.

We deliver systematic marketing execution across advertising, conversion optimisation, analytics, copywriting, automation, and strategy. Work is delivered on a task-based allocation model.

2. Service Model

The $1,000 Launch Package

A one-time engagement delivered within 2–3 weeks. Designed for brands with logo and branding assets already in place. Typically includes foundational marketing setup: campaign structure, landing pages, email automation, or copywriting to enable a market launch.

The $1,500 Ongoing Subscription

A monthly subscription with 20 days of work allocated per month. Clients request tasks; work is completed sequentially (one task at a time). Unused days expire at month end but can be paused and redeemed later. Requires existing website, logo, and branding.

Core Services Included

Advertising (Google Ads, Meta Ads setup, optimisation, scaling). Landing pages & conversions (creation, copy optimisation, A/B testing). Email & automation (campaign creation, lead nurture, ecommerce workflows). Copywriting (ads, landing pages, email, sales pages). Social media content (LinkedIn, Instagram, Twitter, TikTok, batched content, analytics). Analytics & measurement (dashboards, GA4 setup, conversion tracking, monthly reporting). Strategy & optimisation (monthly reviews, competitive analysis, customer positioning). Power-ups available at longer timelines (website builds, sales funnels, complex automation, video content, long-form pages, batched content at scale).

3. Eligibility

You may use our services only if you are legally able to enter into a binding agreement on behalf of yourself or the business you represent. If you are acting on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Work Allocation & Requests

The $1,500 subscription includes 20 days of work per month. Each task is estimated at 1–2 days; when a task is requested, the equivalent allocation is deducted. Tasks are completed sequentially, not in parallel.

If a task request exceeds remaining allocation in the current month, it is queued for the next billing period unless alternate arrangement is agreed in writing.

Unused days do not roll over to the next month and cannot be carried forward. However, if you pause the subscription, unused days can be redeemed when the subscription resumes. Pausing the subscription is available at any time.

5. Communication & Working Model

All services are delivered through asynchronous text-based communication: Slack, email, and the Ratiom client portal. This model is the foundation of how we operate.

Calls are available on rare occasions but are not part of standard service delivery. Where calls are necessary, they are scheduled with a defined agenda, typically on a monthly or as-needed basis at mutual availability.

6. Client Responsibilities

To enable effective service delivery, you agree to:

  • Provide accurate information and existing assets (website, logo, branding) where required
  • Respond to requests, approvals, and questions within 24 hours where possible
  • Maintain lawful ownership or authority over accounts, assets, and materials you ask us to work on
  • Ensure your offers, products, claims, and business practices comply with applicable laws and platform policies
  • Back up your own systems, data, and assets appropriately

7. Fees & Payment

Pricing

$1,000 for the Launch Package (one-time). $1,500/month for the ongoing subscription. Prices are fixed; discounts are not offered.

Payment Terms

For the Launch Package: payment in full before work begins. For the subscription: fees are billed monthly in advance before work begins. No work commences until payment is received and cleared.

You authorise us to charge your payment method for all agreed fees, taxes, and any overdue amounts. If payment is not received when due, all services are paused immediately and no further work, communication, or account action will occur until payment is received in full.

You are responsible for any third-party platform fees, media spend, software costs, app costs, or other expenses unless expressly included in writing.

Ratiom does not support retroactive payment for work already performed.

8. Refunds

Refunds are available at our discretion only. A maximum of 75% of fees paid may be refunded within the first 7 days of the subscription or Launch Package purchase. After 7 days, no refunds are available.

This policy reflects the capacity-based nature of our business: once capacity is allocated to your engagement, it cannot be reallocated if you cancel. Nothing in this section limits any non-waivable rights you may have under applicable law.

9. No Performance Guarantee

We provide professional services, recommendations, and support. We do not guarantee specific outcomes, including ROAS, CPA, revenue growth, conversion rate increases, account recovery, or ad approval. Marketing results depend on many factors beyond our control: offer strength, product-market fit, pricing, creative quality, market conditions, competition, customer behaviour, platform changes, website performance, inventory, and client implementation speed. Any examples, recommendations, forecasts, or opinions we share are illustrative only and are not guarantees.

10. Access & Third-Party Platforms

Our services require access to third-party tools and accounts: advertising platforms, ecommerce platforms, analytics, and communication tools. We are not responsible for outages, account restrictions, policy changes, data loss, or other actions taken by third-party platforms.

You are responsible for complying with the terms, policies, and requirements of any third-party platform you use.

11. Additional Services & External Specialists

If services requested fall outside core scope—such as custom development, specialised design, or services outside marketing—Ratiom may, at its discretion, source, coordinate, or engage vetted specialists from its network.

All billing for such additional services flows through Ratiom. You agree to pay associated fees and costs. No additional work begins until required payment is made in full, unless otherwise agreed in writing.

Ratiom is under no obligation to source or manage additional contributors unless expressly agreed.

12. Intellectual Property

Your Materials

You retain ownership of materials, accounts, trademarks, products, and customer data you provide to us. You grant us a limited, non-exclusive right to use these materials solely to perform the services. You represent that you have the necessary rights to authorise this use.

Our Output

You own all deliverables created for you, including campaigns, landing pages, copy, strategies, creative assets, and recommendations. You may use these deliverables for your internal business purposes.

13. Confidentiality

Each party agrees to keep the other’s non-public confidential information confidential and to use it only as reasonably necessary for the relationship.

Confidential information does not include information that is public, already lawfully known, received from a third party without restriction, or independently developed without use of the other party’s information.

We may disclose confidential information where required by law, regulation, court order, or legal process.

14. Publicity & Portfolio Use

We will not publicly identify you as a client or use your name, logo, or results in our marketing without your written permission.

Likewise, you may not use our name, trademarks, or branding in a way that implies partnership or endorsement without our written permission.

15. Term & Termination

The Launch Package is a one-time engagement. The subscription continues month-to-month unless otherwise agreed. Either party may pause or cancel the subscription before the next renewal date without penalty, taking effect the next billing cycle.

Pausing allows you to preserve unused days for redemption later. Cancellation terminates the engagement; unused days are forfeited unless you pause instead.

We may suspend or terminate services immediately if payment fails, these Terms are breached, your business creates legal or reputational risk, or performance becomes impractical due to access or cooperation limitations.

Ratiom reserves the right to cancel any engagement and refund fees at our discretion if we determine that you or your business are not a good fit for our service model. This includes but is not limited to: lack of engagement or responsiveness, misalignment with our working principles, or inability to work effectively within our asynchronous task-based framework.

Termination does not relieve you of payment obligations already incurred. Confidentiality, intellectual property, disclaimers, and liability limits survive termination.

16. Disclaimers

Services and deliverables are provided on an “as is” basis to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability and fitness for a particular purpose. We do not warrant that services will be uninterrupted, that third-party platforms will function as expected, or that any recommendation will produce specific results.

17. Limitation of Liability

To the fullest extent permitted by law, Ratiom will not be liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, business opportunity, or anticipated savings.

Our total liability arising out of these Terms or services will not exceed the total amount you paid Ratiom in the 3 months immediately preceding the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

18. Indemnity

You agree to indemnify, defend, and hold harmless Ratiom and its owner from claims, liabilities, damages, and losses arising out of your products, offers, business operations, misuse of services, breach of these Terms, violation of law, or infringement of third-party rights by your materials or claims.

19. Compliance

You are solely responsible for ensuring that your business, advertising claims, products, and operations comply with all applicable laws, regulations, and platform policies.

We reserve the right to refuse or stop work that we believe may violate laws, regulations, or platform rules.

20. Data Protection & Privacy

Your use of our services may involve collection and processing of personal data. Our handling of personal data is described in our Privacy Policy. If you provide us access to personal data, you represent that you have the right to do so and that your collection and use complies with applicable law.

21. Independent Contractor

Ratiom is an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or fiduciary relationship.

22. Force Majeure

We are not liable for delays caused by events beyond our reasonable control: internet outages, platform outages, government actions, cyber incidents, natural disasters, war, terrorism, epidemics, utility failures, or similar events.

23. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Poland, without regard to conflict of laws principles.

Any dispute will be subject to the exclusive jurisdiction of the competent courts in Poland, unless applicable law requires otherwise. Before filing a formal claim, both parties agree to first attempt resolution in good faith through informal discussion.

24. Changes to Terms

We may update these Terms from time to time. Updated versions will be posted with a revised “Last updated” date. Your continued use of services after changes constitutes acceptance.

25. Entire Agreement

These Terms, together with any invoice, checkout information, onboarding details, and our Privacy Policy, constitute the entire agreement regarding services, unless superseded by a separately signed written agreement.
