Terms of Service

These terms apply to website design and related services provided by Gary O’Toole, trading as Ratiom, a sole proprietorship (jednoosobowa dziaÅ‚alność gospodarcza) registered in Poland.

Throughout these terms, “I”, “me” and “my” refer to Gary O’Toole trading as Ratiom. “You” and “your” refer to the business engaging my services.
1. Agreement to terms
By requesting a prototype, approving a design, or paying an invoice, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have the authority to do so.
These services are provided business to business. They are not intended for consumers, and consumer protection rules that would apply to a private individual do not apply to this agreement.
If we sign a separate written agreement or statement of work, that document takes priority wherever it conflicts with these terms.
2. Services provided
I design and build custom WordPress websites for local service businesses, primarily in the United States.
The standard package includes:
- A five-page WordPress website, with the pages chosen by you
- Written page copy, produced by me from information you supply
- Mobile-first, responsive design
- Contact forms delivering to an email address you nominate
- On-page SEO fundamentals, including title tags, page structure, and performance basics
- SSL and standard security configuration
- Connection of your domain and hosting setup
Before any payment, I provide a free clickable prototype so you can see the proposed site. The prototype is illustrative and remains my property until a project is agreed and paid for.
Optional extras are available at fixed prices, quoted before work begins. Current extras include additional pages, logo refresh, and Google Business Profile setup.
3. Fees and payment
The standard package is a fixed price of $997 (US dollars). Optional extras are quoted separately and confirmed in writing before work starts.
Payment is made in two stages:
- 50% on approval of the prototype, which starts the build
- 50% on completion, before the site goes live
Invoices are due within 7 days of issue unless agreed otherwise. I may pause work on any project with an overdue invoice.
Prices exclude any taxes, duties, bank charges, or currency conversion costs, which are your responsibility. As a Polish business selling to a business outside the EU, VAT is generally not charged; where any tax obligation arises in your own jurisdiction, meeting it is your responsibility.
4. Project scope and revisions
The agreed scope is the five-page package described in section 2, plus any extras confirmed in writing.
Two rounds of revisions are included. A revision round means a consolidated set of feedback from you, returned in one batch. Requests received after the second round, or requests that change the agreed scope, are quoted separately at a fixed price before any further work happens.
The following fall outside the standard scope and are quoted separately: additional pages, e-commerce functionality, booking systems, custom integrations, migration of an existing site’s content, and ongoing content production.
5. Client responsibilities and materials
To keep to the agreed timeline, you agree to:
- Supply your logo, photographs, service details, service areas, and pricing information promptly
- Provide access to your domain registrar and any existing accounts I need
- Nominate one person to give consolidated feedback and approvals
- Respond to requests for feedback or information within a reasonable time
You confirm that any material you supply is either owned by you or properly licensed for this use, and that using it will not infringe anyone else’s rights. Where stock photography is needed, I can source it at no extra cost.
I write your page copy from the information you provide. You are responsible for confirming that factual claims, prices, licensing statements, service guarantees, and regulatory disclosures are accurate before the site goes live. Final approval of the site is confirmation that you have checked this.
6. Timelines and delivery
The standard build is completed within 14 days of kickoff, where kickoff means the date I have your deposit and the materials listed in section 5.
Prototypes are typically delivered within 48 hours of your enquiry.
Timelines depend on your feedback arriving promptly. Delays caused by outstanding materials, slow approvals, or third-party providers extend the delivery date accordingly and are not a breach of these terms.
7. Intellectual property and ownership
On receipt of final payment, ownership of the completed website transfers to you. This includes the design as delivered, the page copy written for you, and the site files.
Until final payment is received, all work remains my property. This includes prototypes, drafts, and any work in progress.
I retain ownership of any underlying tools, reusable code, processes, and techniques used to produce the site. Nothing in this agreement transfers ownership of those.
Your domain, hosting account, content, and business assets remain yours at all times.
8. Third-party services and licenses
Websites I build use third-party software and services, including WordPress, plugins, hosting providers, and domain registrars.
These are supplied under their own terms and licenses. I am not responsible for their availability, performance, pricing changes, or discontinuation. Where a paid plugin or service is required, this is identified and quoted before work begins.
Any third-party accounts are held in your name unless you are on the care plan described in section 9.
9. Hosting, domains and ongoing costs
You are responsible for your own domain registration and hosting unless you subscribe to the care plan. Typical third-party hosting costs are $10 to $20 per month, billed to you directly by the provider, never by me. I set the hosting up on your behalf and the account is held in your name.
There are no required ongoing fees payable to me.
Care plan (optional)
An optional care plan is available at $49 per month. The first month is free. It includes:
- Hosting of your website
- Small updates, such as swapping images, editing existing copy, and updating offers or details
Small updates mean changes to existing content. New pages, new functionality, redesigns, and structural changes fall outside the plan and are quoted separately at a fixed price.
You can cancel the care plan at any time. On cancellation, I migrate your website to hosting of your choosing, and the account passes to you. Fees already paid are not refunded, and the plan runs to the end of the paid month.
10. Cancellation and refunds
Because you see and interact with a free prototype before any invoice is raised, deposits and payments are non-refundable.
If you stop responding after the build has started, I will attempt to contact you. If there is no response for 30 days, the project is considered closed, the deposit is retained, and any work completed remains my property. Restarting a closed project is treated as a new engagement at current prices.
You may cancel before approving the prototype at no cost.
I may end an engagement if payment is overdue, if requested work falls outside what I offer, or if the working relationship becomes unreasonable. In that case you are charged only for work completed to that point.
11. Warranties and disclaimers
I will perform the services with reasonable skill and care, in line with professional standards.
I do not warrant that your website will produce a specific number of enquiries, calls, leads, sales, or search rankings. Search engines, advertising platforms, and directories are controlled by third parties, and their results depend on factors outside my control, including competition, your market, and your own follow-up.
I will fix defects in my own work that are reported within 30 days of launch, at no charge. This does not cover issues caused by changes you or a third party make after launch, by hosting or plugin failures, or by content you supply.
Except as stated here, services are provided without further warranties of any kind, to the extent permitted by law.
12. Limitation of liability
My total liability arising from this agreement is limited to the total amount you have paid me for the services in question.
I am not liable for indirect or consequential losses, including lost profits, lost business, lost revenue, lost data, or reputational damage.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
13. Indemnity
You agree to indemnify me against claims, damages, and reasonable costs arising from:
- Content, images, logos, or other material you supply
- Claims that material you supplied infringes a third party’s rights
- Statements published on your site about your services, pricing, licensing, guarantees, or qualifications
- Your use of the website after ownership has transferred to you
14. Confidentiality
Each of us agrees to keep the other’s confidential business information private, and to use it only for the purposes of the project.
This does not apply to information that is already public, that is received lawfully from someone else, or that must be disclosed by law.
This obligation continues after the project ends.
15. Termination
Either of us may end this agreement in writing if the other materially breaches it and does not put it right within 14 days of being notified.
On termination:
- Fees for work completed remain payable
- Payments already made are not refunded
- Ownership of any work not paid for in full remains with me
- Sections covering intellectual property, liability, indemnity, and confidentiality continue to apply
16. Governing law and jurisdiction
These terms are governed by the laws of Poland.
Any dispute arising from them is subject to the exclusive jurisdiction of the courts of Kraków, Poland.
We both agree to attempt to resolve any dispute directly, in good faith, before starting formal proceedings.
17. Changes to these terms
I may update these terms from time to time. The version in effect when your project is agreed is the version that applies to it.
Changes affecting an ongoing care plan subscription take effect 30 days after they are published or notified to you.
